Terms of Service
Last updated: 10/01/2026
1. Parties and Definitions
These Terms of Service (the "Terms") constitute a binding legal agreement between you and [COMPANY LEGAL NAME] (the "Company," "we," "us," or "our"), the operator of the website enertivapeptides.com (the "Site").
By creating an account, placing an order, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, our Refund & Order Resolution Policy, and any other policies posted on the Site and incorporated here by reference.
For purposes of these Terms: (a) "Products" means the lyophilized peptide research materials offered for sale on the Site; (b) "Buyer" means an individual who places an order through an account, acting in the capacity of an authorized representative of a Qualified Institution; and (c) "Qualified Institution" means a laboratory, university, analytical laboratory, or other bona fide research institution engaged in laboratory research. "Qualified Institution" does not include any entity or individual seeking Products for use with people or animals.
2. Research Use Only — Nature of the Products
All Products are chemical reference materials sold strictly for in-vitro laboratory research and development purposes only ("Research Use Only"). They are not drugs, food additives, cosmetics, or dietary supplements, and they are not approved, cleared, authorized, or evaluated by the U.S. Food and Drug Administration (FDA) or any other regulatory authority for any purpose.
The Products are not for human or veterinary use. They must not be used in, on, or with any living organism, and they must not be used to influence the structure or any function of the body of any person or animal. Only trained personnel working in a qualified laboratory setting may handle the Products, subject to the safety and handling procedures of that laboratory.
The Company provides no medical, veterinary, or scientific advice regarding the selection, handling, or experimental design for any Product. Nothing on the Site — including product descriptions, specifications, certificates of analysis, or any other content — constitutes a recommendation or endorsement of any use other than in-vitro laboratory research.
3. Account Eligibility and Registration
You must be at least 21 years of age to create an account. By registering, you represent and warrant that: (a) you are at least 21 years old; (b) you are the authorized representative of a Qualified Institution; (c) you have full authority to bind that institution to these Terms; and (d) all information you provide is accurate, current, and complete.
You are required to maintain a single account under your own name and that of your Qualified Institution, and to promptly update any registration information that changes. You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account.
We reserve the right, in our sole discretion, to refuse, suspend, or terminate any account that provides inaccurate information, misrepresents the identity or laboratory affiliation of its operator, or fails to comply with these Terms. Accounts found to have been created for a purpose inconsistent with the Research Use Only nature of the Products will be closed and any open orders cancelled.
4. Ordering and Payment
An order placed through the Site is an offer to purchase, subject to our acceptance. We may refuse or cancel any order at any time, including before shipment, for any reason — for example, pricing errors, product unavailability, inability to verify account eligibility, or suspected misuse of the Products — and we will refund any payment already collected for a cancelled order.
Order confirmation does not constitute acceptance. Acceptance occurs when we ship or deliver the Products, or when we affirmatively confirm acceptance in writing.
All prices are stated in U.S. dollars and are subject to change without notice. You are responsible for applicable taxes, duties, shipping charges, and payment processing fees, which will be disclosed at checkout. By submitting payment, you authorize us — and the payment processors we use — to process the total amount due for your order.
5. Shipping
We will use commercially reasonable efforts to ship in-stock Products within [NUMBER] business days of order acceptance. Delivery estimates shown on the Site or at checkout are estimates only and are not guaranteed; delays caused by carriers, customs processing, weather, or other events beyond our control are not grounds for cancellation or refund beyond the terms of our Refund & Order Resolution Policy.
Title to and risk of loss for the Products pass to the Buyer upon our tender of the Products to the carrier. Please inspect your shipment promptly on arrival and report any damage, error, or discrepancy in accordance with the Refund & Order Resolution Policy.
Products must be stored in accordance with the handling information on the product label and accompanying documentation immediately upon receipt. The Company is not responsible for product integrity once the Products are stored in conditions that do not follow that information.
6. Certificates of Analysis
Each manufactured batch of a Product is tested, and we make available a batch-specific Certificate of Analysis (COA) issued by an independent third-party laboratory for the relevant batch. Each COA bears the corresponding batch number and describes the test results — including identity and purity — obtained for that specific batch.
A COA speaks only to the batch it identifies. Test results do not represent the properties of any other batch, and they do not constitute a statement of safety, efficacy, or suitability for any purpose other than in-vitro laboratory research. COAs are laboratory test reports, not product safety guarantees.
We maintain batch records for the purpose of traceability and quality control. If you believe a Product materially deviates from its batch COA, you may submit a quality claim under the Refund & Order Resolution Policy.
7. Prohibited Uses
You agree not to use, provide, or facilitate the use of Products for any of the following purposes, directly or indirectly:
(a) use in, on, or with any person — including, without limitation, any application, ingestion, inhalation, or injection, or any research or experimentation involving living human subjects;
(b) use in, on, or with any animal, including any veterinary use;
(c) resale, redistribution, or transfer of Products to any person you know or have reason to believe intends a human or veterinary use;
(d) relabeling, repackaging, or otherwise misrepresenting the intended use of any Product;
(e) any handling of the Products outside a qualified laboratory setting by trained personnel;
(f) any use that is inconsistent with the Research Use Only labeling on the Site, product packaging, or accompanying documentation, or that would violate applicable law.
Any violation of this section is a material breach of these Terms. We may, without limiting any other remedy available to us, immediately suspend or terminate your account, cancel any open orders, and decline future orders from you or your Qualified Institution.
8. Intellectual Property
The Site, its design, layout, text, images, graphics, logos, product names, and all other content (collectively, the "Content") are and will remain the exclusive property of the Company and its licensors, protected under U.S. and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its Content solely for your personal, internal use in connection with your account and orders. You may not copy, distribute, reproduce, modify, create derivative works from, publicly display, or otherwise exploit any Content without our prior written consent.
All trademarks, service marks, and trade names appearing on the Site are the property of their respective owners. Nothing on the Site grants you any right in any trademark, service mark, or trade name of the Company or any third party.
9. Disclaimers and Limitation of Liability
THE SITE, THE CONTENT, AND THE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE COMPANY DOES NOT REPRESENT OR WARRANT THAT THE PRODUCTS ARE SAFE, LAWFUL, OR SUITABLE FOR ANY PURPOSE OTHER THAN IN-VITRO LABORATORY RESEARCH.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SITE, THE CONTENT, OR THE PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO A PURCHASE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCTS GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Products for any purpose inconsistent with the Research Use Only labeling; (b) your breach of any representation, warranty, or obligation in these Terms, including Section 3 (Account Eligibility and Registration) and Section 7 (Prohibited Uses); (c) the resale, redistribution, or misrepresentation of the Products by you or anyone acting through your account; or (d) your violation of any applicable law.
11. Governing Law and Disputes
These Terms, your use of the Site, and any dispute arising from or related to your purchases will be governed by the laws of the State of [STATE], without regard to its conflict-of-laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in [STATE] for the resolution of any such dispute.
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect, and the unenforceable provision will be modified only to the extent necessary to make it enforceable under applicable law.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the revised Terms on the Site with a revised "Last updated" date. Material changes will be identified at the top of the revised Terms.
Your continued use of the Site or placement of orders after revised Terms have been posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site and close your account.
